Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Koda iOS application and related services (together, "Koda" or the "Service"), provided by [Company Legal Name] ("Koda," "we," "us," or "our"). By downloading, installing, or using Koda, you agree to these Terms. If you don't agree, don't use Koda.

These Terms include an arbitration agreement and class-action waiver in the Dispute Resolution section. Please read those carefully — they affect your legal rights.

1. Acceptance and changes

Using Koda means you accept these Terms and our Privacy Policy. If we change these Terms in a way that materially affects your rights, we'll notify you in the app and update the "Last updated" date above. If you keep using Koda after a material change takes effect, you accept the updated Terms. If you don't accept them, you can stop using Koda and delete your account.

2. Eligibility and account

You must be at least 13 years old (or 16 in jurisdictions where that's the threshold for digital consent) and able to form a binding contract under your local law to use Koda. Koda is not directed at children under those ages.

To use Koda you'll create an account through Sign in with Apple. You're responsible for keeping access to your Apple ID and iPhone secure — we treat anyone signed into your account as you. You agree the information you provide (the email address you share with us via Apple, for example) is accurate.

You can have one account per person. You can't share your account, sell it, or let anyone else use it.

3. Subscriptions, billing, and free trial

3.1 Plans

Koda offers a free tier and a paid subscription tier ("Koda Premium"). The free tier includes limited use of AI features and a limited number of connected bank accounts. Koda Premium unlocks higher quotas. The current feature breakdown and limits are shown in the app on the Plan screen.

3.2 Price and billing

Koda Premium is currently $79.99 USD per year (or the local-currency equivalent set by Apple for your App Store region). Apple sets and may adjust regional pricing automatically. Pricing displayed in the app at the time of purchase is the price you'll be charged.

All purchases are processed by Apple through your iTunes or App Store account. We do not see, store, or process your payment method. Your purchase is governed by Apple's Media Services Terms in addition to these Terms.

3.3 Free trial

New Koda Premium subscribers receive a 3-day free trial. If you don't cancel during the trial, your subscription will automatically convert to a paid annual subscription at the price shown when you signed up, and your Apple ID will be charged.

You can cancel the trial at any time before it ends to avoid being charged. To cancel, go to Settings → [your name] → Subscriptions on your iPhone, select Koda, and tap Cancel Subscription.

3.4 Auto-renewal

Koda Premium is an auto-renewing subscription. Your subscription will automatically renew at the end of each billing period and your Apple ID will be charged the renewal price unless you turn off auto-renewal at least 24 hours before the end of the current period. To turn off auto-renewal:

Settings → [your name] → Subscriptions → Koda → Cancel Subscription

Cancellation takes effect at the end of the current billing period; you keep Premium access until then. We don't have the ability to cancel your subscription on your behalf — it has to be done through Apple.

3.5 Refunds

Refund requests for App Store purchases are handled by Apple, not by us. You can request a refund through Apple at reportaproblem.apple.com. Apple's refund policy applies. We don't issue refunds directly.

If your subscription is paused or cancelled (for non-payment, account deletion, or any other reason), Koda will revert to the free tier, which may mean some of your previously connected bank accounts become hidden until you re-upgrade or disconnect them.

3.6 Price changes

If we change the price of Koda Premium, we'll notify you in advance through the app or by email and Apple may also notify you. Price changes take effect at your next renewal. You can cancel before the new price takes effect if you don't agree.

4. License to use Koda

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use Koda on Apple-branded devices that you own or control, subject to these Terms and the Apple Media Services Terms.

You may not, and may not allow anyone else to:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of Koda, except where this restriction is prohibited by law
  • Modify, adapt, translate, or create derivative works of Koda
  • Remove, obscure, or alter any proprietary notices in Koda
  • Use Koda to build a competing product or service
  • Rent, lease, lend, sell, redistribute, or sublicense Koda
  • Use Koda to violate any law or any third party's rights
  • Interfere with or disrupt Koda, our servers, or the services that Koda depends on (including Plaid, Anthropic, Apple, and Supabase)
  • Bypass any rate limits, quotas, or other technical limitations
  • Use automated systems (bots, scrapers, etc.) to access Koda except as we expressly permit
  • Use Koda to harass, abuse, defame, or harm anyone

We can suspend or terminate your access to Koda if we reasonably believe you've violated this section.

5. AI features — important limitations

Koda includes AI features, including a chat assistant and AI-generated daily and weekly briefs. These features use third-party AI systems (currently Anthropic's Claude API).

AI outputs can be wrong. AI can produce inaccurate, incomplete, outdated, or biased information. This happens sometimes even when the underlying data we send is correct. Don't rely on AI outputs for important decisions without verifying them yourself. We don't guarantee that AI outputs will be accurate, complete, or up to date.

AI is not professional advice. Nothing produced by Koda's AI features is medical advice, legal advice, tax advice, financial advice, or investment advice. Don't use Koda's AI as a substitute for a qualified professional.

Output ownership. As between you and us, you own the prompts you send and outputs you receive through Koda's AI features, subject to (a) Anthropic's terms governing the AI service, (b) any rights we retain in Koda itself, and (c) the fact that AI outputs may not be original to you and similar outputs may be generated for other users.

Training. We don't use your data to train AI models. Anthropic does not train its production models on data submitted through their API. See our Privacy Policy for the full data flow.

6. Financial data — important limitations

Koda displays your bank account balances and transactions, fetched through Plaid Inc. ("Plaid").

Koda is not a financial advisor. We don't provide financial, investment, tax, or accounting advice. Insights, summaries, budgets, and trend information shown in Koda are for informational purposes only.

Data may lag or be incomplete. Account balances and transactions reflect what Plaid sends us, which may lag your actual bank by hours or days. Some transactions may be missing, miscategorized, or duplicated. Always check your bank's official records for important decisions.

Read-only connection. Koda's connection to your bank through Plaid is read-only. We can't move money, change your account settings, or take any action on your accounts.

You are responsible for your accounts. You're responsible for monitoring your real bank statements, paying bills, and complying with the terms of your bank and any other financial institution. Koda is a layer on top of those services, not a replacement for them.

7. Third-party services

Koda depends on services provided by third parties. Your use of those services through Koda is governed by their own terms in addition to these Terms:

  • Apple — App Store, Sign in with Apple, StoreKit, HealthKit, EventKit, Contacts, Core Location, WeatherKit. Governed by Apple's terms and privacy policy.
  • Plaid — Bank connection, transaction and balance data. Governed by Plaid's End User Privacy Policy and applicable Plaid agreements.
  • Anthropic — Claude AI used for chat and briefs. Governed by Anthropic's Usage Policies and Privacy Policy.
  • Supabase — Backend database and authentication. Governed by Supabase's terms (Koda is the customer; Supabase processes data on Koda's behalf).

We are not responsible for the actions, content, or availability of these third-party services. If a third-party service stops working, changes its terms, or becomes unavailable, the affected Koda features may also stop working.

8. Intellectual property

Koda, including the app, brand name, logo, design, source code, and content (other than your own user content), is owned by [Company Legal Name] and protected by copyright, trademark, and other intellectual property laws. We retain all rights not expressly granted to you in these Terms.

You can't use the Koda name, logo, or other branding without our written permission, except as part of normal use of the app.

If you provide us with feedback, suggestions, or ideas about Koda, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution.

9. Your content

Koda lets you store data on your device and on our backend, including chat history, briefs, transaction edits, and notes you write in About Me. We refer to this as "Your Content."

You retain ownership of Your Content. You grant us a limited, non-exclusive license to host, copy, transmit, process, and display Your Content solely as needed to provide the Service to you. This license ends when you delete the relevant content or your account.

You're responsible for Your Content. Don't upload anything you don't have the right to use, anything illegal, or anything that infringes someone else's rights.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using Koda, you consent to that collection and use.

11. Disclaimers

KODA IS PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from a course of dealing, course of performance, or trade usage.

We don't warrant that:

  • Koda will be uninterrupted, timely, secure, or error-free
  • AI outputs will be accurate, complete, or fit for any purpose
  • Financial data shown in Koda will match your actual bank records
  • The Service will meet your specific requirements

Some jurisdictions don't allow the exclusion of certain warranties. To the extent any warranty cannot be disclaimed, the warranty is limited to the maximum extent permitted by law.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, in no event will [Company Legal Name], our affiliates, officers, directors, employees, agents, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with these Terms or Koda — even if we've been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising out of or relating to Koda or these Terms is limited to the greater of (a) the amount you paid us for Koda in the 12 months immediately preceding the event giving rise to the claim, or (b) US$50.

These limits apply even if a remedy fails of its essential purpose.

Some jurisdictions don't allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless [Company Legal Name], our affiliates, and our respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of Koda, (b) your violation of these Terms, (c) your violation of any third party's rights, or (d) Your Content.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

14. Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

14.1 Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by emailing us at support@hellokoda.app with a description of the dispute and the relief you're seeking. We'll try to resolve the dispute within 60 days of receiving your notice. If we can't, either of us may proceed under the next sections.

14.2 Binding arbitration

If informal resolution doesn't work, any dispute arising out of or relating to these Terms or Koda will be resolved by binding individual arbitration, not in court, except as set out below. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules then in effect, available at jamsadr.com. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class action waiver

You and Koda agree that any dispute will be brought in your or our individual capacity only — not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

14.4 Exceptions

Either of us can bring an individual claim in small-claims court if it qualifies. Either of us can also seek injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual-property rights.

14.5 Opt-out

You can opt out of this arbitration agreement by emailing support@hellokoda.app within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out" and your full name and the email address tied to your account. Opting out doesn't affect any other part of these Terms.

14.6 Severability of dispute resolution

If any part of this Section 14 is found unenforceable, the rest of this Section continues to apply. If the class-action waiver is found unenforceable as to a particular claim, that claim will be heard in court — not in arbitration — but the arbitration agreement otherwise remains in force.

15. Termination

You can stop using Koda and delete your account at any time in Settings → Account → Delete Account. Deleting your account permanently removes the data we store about you in our backend, disconnects any banks via Plaid, and removes the local database from your device.

We may suspend or terminate your access to Koda at any time, with or without notice, if we reasonably believe you've violated these Terms, if your continued use poses a risk to us or other users, if required by law, or if we discontinue Koda.

Sections that by their nature should survive termination — including Sections 8 (IP), 9 (Your Content), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and 18 (General) — survive.

16. Changes to the service

We may add, change, or remove features in Koda at any time. We may also stop offering Koda altogether. If we make a change that materially reduces the value of an active paid subscription, we'll provide a pro-rated refund for the unused portion of your subscription period (subject to Apple processing the refund).

17. Apple-specific terms

This Section 17 applies because Koda is licensed to you through the Apple App Store. In the event of a conflict with anything else in these Terms, this Section controls.

These Terms are between you and Koda only. They are not between you and Apple. Apple is not responsible for Koda or its content.

License is from us, sublicensed by Apple. The license granted to you in Section 4 is limited to a non-transferable license to use Koda on Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms (except that Koda may also be accessed and used by other accounts associated with you via Family Sharing).

Maintenance and support. We are solely responsible for any maintenance and support services for Koda. Apple has no obligation to provide any maintenance and support.

Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If Koda fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid Apple for Koda. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Koda.

Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to Koda or your possession or use of it, including (a) product liability claims, (b) any claim that Koda fails to conform to any applicable legal or regulatory requirement, and (c) claims arising under consumer protection or similar legislation.

Intellectual-property claims. In the event of any third-party claim that Koda or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

Legal compliance. You represent and warrant that (a) you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country, and (b) you are not on any U.S. government list of prohibited or restricted parties.

Third-party beneficiary. You and we acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and that, upon your acceptance of these Terms, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

18. General

Governing law. These Terms are governed by the laws of the State of [Delaware/your state], without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Venue. Subject to the arbitration agreement in Section 14, any judicial proceedings will be brought in the state or federal courts located in [County, State], and you and we consent to the personal jurisdiction of those courts.

Entire agreement. These Terms, together with the Privacy Policy and any other terms incorporated by reference, are the entire agreement between you and us about Koda and supersede any prior agreements.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Severability. If any provision of these Terms is found unenforceable, the rest remains in effect.

Assignment. You can't assign or transfer these Terms without our written consent. We can assign these Terms without restriction (for example, in connection with a merger, acquisition, or sale of assets).

Force majeure. We're not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or third-party service failures, or pandemic.

Notices. We can give you notices through the app, by email at the address tied to your account, or by posting them on our website. You can give us notices at support@hellokoda.app.
